TERMS AND CONDITIONS

These Terms & Conditions (“Terms”) govern the use of the www.alphaleadacademy.com website and any related landing pages, client portals, or online services (collectively, the “Services”) operated by Alpha Lead KG (“Alpha Lead”, “we”, “us”, or “our”), a company registered in Austria, Company Register No. 635167, registered office: Alser Straße 24, 1090 Wien, Austria.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Scope & Eligibility

Our Services are provided exclusively to business customers (B2B). By using the Services, you confirm that you are acting in a professional capacity and not as a consumer under the Austrian Consumer Protection Act (KSchG). Consumer protection rights (e.g., withdrawal under the Fern- und Auswärtsgeschäfte-Gesetz) therefore do not apply.

2. Services & Contract Formation

Descriptions of our consulting, training, and related services on our website are not binding offers, but invitations to submit a request. A binding contract is formed only when we confirm acceptance in writing (e.g., email or signed agreement).

We reserve the right to refuse orders or engagements at our discretion.

3. Prices, Payment & Invoicing

- All prices are stated in euros (EUR) and, unless otherwise specified, exclude statutory VAT.

- Payment terms are as agreed in writing. Unless otherwise stated, invoices are payable within 14 days from the invoice date, without deduction.

- In case of late payment, statutory default interest under § 456 UGB applies, and we may suspend ongoing services until payment is received.

4. Use of Our Materials & Intellectual Property

- All training content, templates, scripts, and materials we provide (the “Materials”) are protected by copyright and remain our exclusive property or that of our licensors.

- You are granted a non-exclusive, non-transferable licence to use the Materials solely for your internal business purposes.

- You must not copy, distribute, sell, or make the Materials available to third parties without our prior written consent.

5. Client Responsibilities

You agree to:

- Provide accurate and complete information necessary for us to deliver the Services.

- Ensure that all data you provide complies with applicable data protection laws, including GDPR.

- Obtain any necessary consents from your own customers or contacts before sharing their data with us.

6. Data Protection & Privacy

We process personal data in accordance with our Privacy Policy, available at https://www.alphaleadacademy.com/privacy, which forms an integral part of these Terms. By accepting these Terms, you also accept and agree to the Privacy Policy.

7. Third-Party Services

We may use trusted third-party platforms (e.g., Skool, Bison, Calendly, Vimeo, Google Analytics) to deliver certain parts of the Services. These providers are responsible for their own terms and privacy policies, which you should review.

We are not liable for any loss or damage arising from third-party platforms unless required by law.

8. Availability & Service Changes

We aim to keep our Services available without interruption, but do not guarantee uninterrupted or error-free operation.

We may modify, suspend, or discontinue any part of the Services with reasonable notice where feasible.

9. Limitation of Liability

To the maximum extent permitted by Austrian law:

- We are not liable for indirect, incidental, or consequential damages (including loss of profits, business, or data).

- Our total liability under these Terms is limited to the amount you have paid for the Services in the 12 months preceding the event giving rise to the claim.

- Nothing in these Terms limits liability for death or personal injury caused by gross negligence or wilful misconduct, or any other liability that cannot be excluded under Austrian law.

10. Indemnification

You agree to indemnify and hold harmless Alpha Lead KG, its employees, contractors, and affiliates from all claims, damages, and costs (including legal fees) arising from your breach of these Terms or unlawful use of the Services.

11. Termination

We may terminate the agreement and/or your access to the Services with immediate effect if you materially breach these Terms or fail to pay amounts due.

Upon termination, all rights granted to you under these Terms cease immediately, and you must delete or return any Materials in your possession.

12. Governing Law & Jurisdiction

These Terms and any disputes or claims (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of Austria, without regard to conflict-of-law provisions.

The parties will first attempt to resolve any dispute amicably through written negotiations for at least 14 days before initiating court proceedings, except where urgent injunctive relief is required.

The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be the competent commercial court in Vienna, Austria.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or prominent notice on our website before the changes take effect. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
